These Terms of Service ("Terms") govern your use of the LearnShare platform, including the learnshare.io website and the app.learnshare.io application (the "Service"), operated by Loopjet LLC dba LearnLayer, located at 1309 Coffeen Avenue, STE 1200, Sheridan, WY 62502, United States ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Accounts
To use most features of the Service, you must create an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when creating your account and keep it up to date.
2. Use of the Service
Permitted Use
You may use the Service to create, manage, and sell educational courses and training content. You agree to use the Service only for lawful purposes and in accordance with these Terms.
Prohibited Use
You agree not to:
- Use the Service to create, distribute, or store content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Impersonate any person or entity or misrepresent your affiliation
- Interfere with or disrupt the Service or servers connected to the Service
- Attempt to gain unauthorized access to any part of the Service
- Use the Service to send spam or unsolicited communications
- Scrape, crawl, or use automated means to access the Service without our consent
- Resell or redistribute the Service without authorization
3. Content Ownership
Your Content
You retain ownership of all course content, materials, and other data you create or upload to the Service ("Your Content"). By using the Service, you grant us a limited license to host, store, display, and process Your Content solely to provide the Service to you.
AI-Generated Content
Content generated by our AI features is created on your behalf. You own the AI-generated content and are responsible for reviewing and ensuring its accuracy before publishing. We do not guarantee the accuracy, completeness, or suitability of AI-generated content.
Our Content
The Service, including its design, features, documentation, and branding, is owned by LearnShare and protected by intellectual property laws. You may not copy, modify, or distribute our content without permission.
4. Pricing and Payments
Plans
The Service offers free and paid plans. Pricing details are available on our website and within the application. We reserve the right to change pricing with 30 days' notice to existing subscribers.
Billing
Paid plans are billed monthly. Payment is processed by Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.
Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds are provided for partial billing periods.
Active-Learner Billing
The Free plan includes up to 10 active learners per calendar month. An "active learner" is a unique user who engages with one of your courses in that month — passive enrollments are not counted. Once you cross the 10-learner threshold, you will be prompted to upgrade to Pro ($19/month + $2 per active learner). Learners are not blocked from access; the threshold marks when paid billing begins. We do not charge a fee on your course sales.
5. Course Sales
If you sell courses through the Service, you are the seller of record. You are responsible for setting appropriate prices, complying with applicable tax laws, and providing any required refunds to your learners. We facilitate payment processing but do not act as a party to the transaction between you and your learners.
6. Availability and Support
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability. We provide support through the channels described on our website.
7. Data and Privacy
Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
8. Limitation of Liability
To the maximum extent permitted by law, LearnShare shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service.
Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Termination
We may suspend or terminate your access to the Service at any time if you violate these Terms or if we reasonably believe that your use of the Service poses a risk to us, other users, or third parties. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination.
11. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service at least 30 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration.
